The accommodation and facilities of the Ness Horizons Centre are offered on the terms and conditions as set out below. You (The Client) signify acceptance of these terms and conditions by signing the Service Agreement NH1 or NH2 as appropriate.We (Highland Business Networks Ltd) shall be intitled to terminate the agreement at any time if you breach these terms and conditions, or if you become insolvent, or if the business you represent goes into liquidation.

We, Highland Business Networks Ltd, trading as the Ness Horizons Centre, agree to provide the services detailed in the Service Agreement, including, if so indicated, the use of the accommodation and facilities of the Ness Horizons Centre, from the Date of Commencement as specified in the Service Agreement, until the Date of Expiry if one is specified. Where no date of Expiry is specified, we will continue to provide the agreed services, and you may continue to use the agreed accommodation and services on a monthly basis until the agreement is terminated by either party.

You are required register as a Member of the Ness Horizons Centre before you may enter into any agreement with us for the provision of accommodation or services. An annual charge is made for Centre membership. If you enter into an agreement with us for the provision of accommodation doe a period of one month or more, the annual membership fee for the year is waived. We reserve absolutely the right to refuse membership to any individual or organisation, without stating a reason for so doing.

You are required to pay a fee for the services you receive, and for the accommodation and facilities that are provided for you. The amount and frequency of the fee payments are as specified in the Service Agreement. Where you require the services or facilities for periods of one month or less, the fees which are applicable on a daily, weekly or monthly basis shall be paid on or before the Date of Commencement. For periods of more than one month, these fees shall be paid monthly in advance.

In addition to these daily, weekly or monthly fees, you are required to pay for any additional services you receive, such as photocopying, use of telephone etc. These costs will be paid monthly in arrears, on receipt of an invoice from us, or on expiry of the agreement, whichever is the sooner. We will provide an itemised invoice to support the charges levied. You are required to pay any such invoices within 30 days of the invoice date.

If you do not pay the fees by their due date, Interest at the rate of four per cent per annum above the Bank of Scotland Base Lending Rate will be payable on any outstanding amounts from the due date until paid. If you do not pay the fees within fourteen days after their due date, we will deem the agreement between us to be terminated and all outstanding charges and fees will fall due at that time.

Use

Where we are permitting you to use accommodation in the Ness Horizons Centre, you may use accommodation as an office and for no other purpose whatsoever. You may not conduct any activity or business from the accommodation which may encourage or require members of the public to visit, other than by appointment.

Our obligations

We will provide the accommodation and/or services as specified in the Service Agreement, subject to the use made of the offices being reasonable and appropriate to the normal operation of a professional office. Where we provide reception or mail handling services, these are restricted to the typical volumes expected in normal office use. We cannot be held liable for any consequences arising from a failure in the services we provide, where the failure arises from reasons outside of our control.

Where we provide office accommodation it will include the use of standard office furniture, telephone and fax equipment as specified in our brochures and in our Guide to Services (a copy of which is available on request). We will also provide heating, lighting, cleaning and maintenance services for the accommodation, and will endeavour to provide a good working environment for you.

We will take all reasonable care not to lose or damage any property of yours in the Ness Horizons Centre, but cannot be held responsible for any loss or damage to any stock, machinery or equipment of yours which may be located in the Ness Horizons Centre or its environs. If you leave any property in the Ness Horizons Centre after the expiry of the agreement between us, we will have the right to remove the property. If you do not collect it within fourteen days of the expiry of the agreement, we will be entitled to sell it as your agent and to retain the proceeds of sale to set against any fees due to us by you.

In the event that any dispute arises between you and any other client of the Ness Horizons Centre, we shall have the right to resolve the dispute in our absolute discretion.

From time to time, it may be necessary for us to carry out maintenance or repair work in the Ness Horizons Centre. In these circumstances, we may require you to move from the accommodation we have provided for you to alternative accommodation within the Centre. If we do so, we will give you reasonable notice, and the terms and conditions of this agreement will apply to the substituted accommodation.

Your rights

During the period of the agreement between us, and the agreement provides for office accommodation, you are entitled to have access to the accommodation and to make use of the services we have agreed to provide for you (if any). Access to accommodation is normally 08:30 hours to 17:30 hours each weekday (other than Bank Holidays) but if required we can provide you with keys and the security code(s) necessary for gaining access to the Centre outside these hours. Staffing of the Centre is provided only between the hours of 08:30 and 17:00 hours each weekday (except Bank Holidays). Services outside of these hours can be provided by separate agreement.

During the period of the Agreement, and where the Agreement includes the provision of accommodation or of meeting room use, you are entitled to us, on a non-exclusive basis, the litchen, toilets/washrooms, entrance hall, stairways and reception facilities. 

Your obligations

The Agreement is between Highland Business Networks Ltd and You. You may not enter into any subsidiary agreement with any other party regarding the accommodation or services we provide for you, nor may you permit any other individual (if you are trading as a sole trader), business or organisation to use or share the accommodation we provide for you.

You must ensure that the use you make of the accommodation and services of the Ness Horizons Centre is permitted in terms of the Town and Country Planning, or any other, legislation. We give no warranty that your intended use is permitted.

You must take all reasonable care to use all equipment and accommodation provided by us in a proper manner. Any accommodation or related facilities must be kept in a neat and tidy condition. In the event that you cause damage to either the equipment or accommodation of the Ness Horizons Centre, you will be responsible for making good the damage prior to expiry of the Agreement. You must take all reasonable care to use the resources of the Ness Horizons Centre in a reasonable manner - by not wasting light or heat, for example. Any use of power which we consider to be excessive or unreasonable may be the subject of additional charge.

You must observe and comply with all Acts of Parliament, regulations and directions of the Local Authority or of any other competent authority in relation to the accommodation and its use. You should note in particular that if you intend to use any apparatus capable of receiving broadcast television programmes you must obtain the appropriate licence in your own name.

You must take all reasonable care to cause the minimum practicable inconvenience to other clients of the Ness Horizons Centre, and to other tenants and users of Kintail House and of other nearby business premises. You must comply with all reasonable requirements and management rules which we might find necessary to apply in respect of the management and operation of the Centre.

You must ensure that you have all the necessary insurance cover as required by law, and that all stack and equipment belonging to you, and located in the accommodation provided by us is insured against all normal commercial risks. We carry commercial insurance in respect of all normal risks applied to the internal fixtures and fittings of the Centre and to the furniture and equipment which belong to us. We do not provide insurance cover in respect of your own property.

You will indemnify us from and against all liability in respect of death of, or injury to, any person, or damage or loss arising directly or indirectly from or out of the use of the accommodation or services in the Ness Horizons Centre.

You may not display any advertising or commercial signs or boards within the Ness Horizons Centre in such a way as to be visible from outside the premises or from the communal areas within the Centre.

You may not bring or place any furniture of your own within the Centre. If you require furniture in addition to that which is provided within the Agreement, the supply will be subject to a separate agreement.

You must not connect any equipment to the internal communications networks without first seeling confirmation from us that it is suitable and appropriate for connection.

We will provide you with Keys to Kintail House and to the Centre, together with the security codes for activating and de-activating the security systems, of you require them. You must not take copies of the keys, nor provide the codes to any third party other than as may may be agreed with us. When you enter or remain in the Centre outside the normal working hours, you must secure the Centre on leaving by locking the doors and setting the security systems, subject to their not being other clients remaining in the Centre at the time. You will be liable for any loss or damage arising from any breach of this condition.

Termination

You may terminate the agreement prior to the date of expiry at any time on giving written notice to us. There is no minimum period of notice stipulated, but we would appreciate as much notice as possible.

We may terminate the agreement prior to the date of expiry without notice only if you breach the terms and conditions set out in this document. We may terminate the agreement without reason on providing you with one month’s written notice of termination. We will not unreasonably terminate an agreement.

In the event of termination arising for any of the above reasons, we shall not be liable for any expenses you may incur in advising your customers or clients of a change of address or telephone contact number, or for any other expenses howsoever caused.
